Предложение о покупке акций по определенной цене, сделанное акционерам компании отдельным лицом или организацией с целью установления своего контроля над компанией. Если предложение о поглощении является желательным, директора компании рекомендуют акционерам принять его условия. Обычно такое поглощение называется слиянием (merger). Если предложение нежелательно или условия предложения неприемлемы, совет директоров советует акционерам отклонить его (см.: hostile bid (нежелательное предложение о поглощении)). В последующей схватке за поглощение (takeover battle) тот, кто сделал предложение, может выдвинуть более благоприятные условия и, как правило, расписать акционерам преимущества, которые, по его мнению, дает успешное поглощение. Предложение о поглощении
Действия одной компании, направленные на приобретение контрольного пакета акций другой компании. Цена, предлагаемая за акцию компании-объекта поглощения, обычно превышает стоимость ее материальных активов и текущую цену ее акций на фондовой бирже. Компания-поглотитель может предложить за акции наличные средства, свои собственные акции или и то, и другое. Для описания тактики, к которой прибегают в такой ситуации компании-жертвы, пытаясь противостоять захвату, и компании-хищники, претендующие на поглощение, существует ряд жаргонизмов: а) «черный рыцарь» (black knight) - компания, выставляющая враждебное предложение на поглощение другой компании (hostile or contested bid); б) «золотой парашют» (golden parachute) - особые условия, закладываемые в трудовой договор с управляющими высшего звена компании, которые делают их увольнение в случае поглощения слишком дорогостоящим, т.е. компания вынуждена будет выплатить им крупную компенсацию; в) «зеленый» (долларовый) шантаж (greenmail) - попытка компании-жертвы откупиться от агрессивного инвестора, предложив ему высокую премию за акции, которые он уже успел скупить в обмен на обязательство отступиться от поглощения; г) поглощение за счет заемных средств (leveraged bid) - поглощение, которое финансируется с помощью заемного капитала, часто в виде «бросовых» облигаций (см. Junk bonds), а не через дополнительную эмиссию, что увеличивает степень зависимости вновь образованной компании от займов (см. Capital gearing); д) защита «пэк-мэн» (pac-man defence) - компания-жертва сама выступает с предложением приобрести акции компании-поглотителя («Pac Man» - компьютерная игра, в которой рот заглатывает кружки или звездочки).
