13 MISREPRESENTATION
(искажение,намеренный обман) Ложное представление положения одной из сторон другой в ходе переговоров по контракту, направленное на то, чтобы стимулировать другую сторону этот контракт заключить. Лицо, искажающее факты, называется репрезентор (representor), а лицо, которому искаженная информация сообщается,-репрезенти (representee). Неправильное изложение закона, мнения, намерений искажением не является, так же как и сообщение информации, о несоответствии действительности которой другой стороне известно. Более того, если эта информация не стимулирует репрезенти к заключению контракта, она не рассматривается как искажение. Меры, принимаемые в связи с предоставлением искаженной информации, различны и зависят от степени виновности репрезентора. Если он виновен в злостном искажении фактов (fraudulent misrepresentation) (т.е. если он на самом деле не верит в то, что сообщает), репрезенти имеет право, при определенных ограничениях, аннулировать контракт, а также может возбудить дело о возмещении ущерба (damages). Если репрезентор виновен в искажении фактов по небрежению (negligent misrepresentation) (т.е. если он верил в свое сообщение без достаточных к тому оснований), репрезенти также может аннулировать контракт ( см.: rescission (аннулирование/отмена)) и возбудить дело о возмещении убытков. В случае, когда репрезентор просто допустил невольное искажение фактов (innocent misrepresentation) (достаточно обоснованно веря в их достоверность), репрезенти может только аннулировать контракт. -
