добровольная ликвидация под наблюдением кредиторов
Ликвидация компании на основании особой резолюции, принятой ее членами, в связи с неплатежеспособностью. В течение 14 дней со времени принятия резолюции должно состояться собрание кредиторов (meeting of creditors), о котором кредиторов следует уведомить не позднее чем за семь дней. Уведомления должны быть также направлены в газету “London Gazette” и в две местных газеты. Кредиторы имеют право получить требуемую им информацию до собрания. Ликвидатор (liquidator) компании может быть назначен акционерами компании до того, как состоится собрание кредиторов, либо на собрании кредиторов. Если были назначены два ликвидатора, для решения вопроса можно обратиться в суд.

Лицо, назначаемое судом или членами компании или ее кредиторами для урегулирования дел компании при ее ликвидации (liquidation). В случае добровольной ликвидации компании ее членами (members voluntary liquidation) ликвидатора назначают сами члены компании. При добровольной ликвидации компании ее кредиторами (creditors voluntary liquidation) ликвидатора могут определить члены компании до заседания кредиторов (meeting of creditors) или сами кредиторы на своем заседании. В первом случае ликвидатор может осуществлять свои полномочия только с согласия суда. Если назначаются два ликвидатора, то решение о том, кто из них будет проводить ликвидацию компании, принимает суд. При принудительной ликвидации (compulsory liquidation) суд после представления петиции о ликвидации назначает временного ликвидатора (provisional liquidator); после принятия судом решения о процессе ликвидации суд назначает ликвидатором официального ликвидатора имущества несостоятельного должника (official receiver), до того времени, когда будет назначен другой чиновник или если другой чиновник не будет назначен. Отношения ликвидатора с компанией и с совокупностью ее кредиторов являются отношениями управления имуществом по доверенности; если он назначен для осуществления принудительной ликвидации, он является судебным должностным лицом, обязанности которого определяются законом и который не может извлекать выгоду из своего положения. В соответствии с Законом о неплатежеспособности 1986 г. он должен быть квалифицированным юристом, практикующим в этой области. Согласно этому закону, юристы, практикующие в области ликвидации неплатежеспособных компаний, должны отвечать определенным требованиям, включающим членство в известной профессиональной организации (такой, как Ассоциация юристов, практикующих в области ликвидации неплатежеспособных компаний, или Институт дипломированных бухгалтеров). После назначения ликвидатор принимает на себя контроль над компанией, собирает все ее активы, уплачивает долги; если у компании имеется прибыль или резервный капитал, ликвидатор распределяет их среди членов компании соответственно с их правами. В случае принудительной ликвидации за деятельностью ликвидатора наблюдает суд, ликвидационный комитет (liquidation committee) и Министерство торговли и промышленности. Служащие компании представляют ему ревизорский бухгалтерский баланс (Statement of affairs), на основе которого он делает заявление в суде.
