(долговое обязательство,облигация) 1. Наиболее обычная форма долгосрочного займа компании. Как правило, это заем, подлежащий погашению в установленный срок, хотя некоторые долговые обязательства являются бессрочными ценными бумагами (irredeemable securities); иногда их называют “бессрочными долговыми обязательствами” (perpetual debentures). Большинство облигаций имеет также фиксированную ставку процента, причем проценты по облигациям выплачиваются прежде выплаты дивидендов (divldends) акционерам. Кроме того, большинство таких долговых обязательств обеспечено активами заемщика, хотя некоторые обязательства, известные под названием “голых облигаций” (naked debentures), или необеспеченных облигаций (unsecured debentures), обеспечения не имеют. В США долговые обязательства, как правило, не обеспечены активами и их единственным обеспечением является репутация заемщика. В случае же с обеспеченными долговыми обязательствами (secured debenture) облигация может быть обеспечена фиксированным имущественным залогом (ftxed charge) (т.е. выпущена под залог какого-либо определенного актива) или ликвидным залогом (floating charge). Если долговые обязательства выпускаются для получения займа среди большой массы людей (например, в форме обеспеченных или необеспеченных облигаций (debenture stock или loan stock)), возможно назначение попечителя, который будет действовать от имени держателей долговых обязательств. Иногда погашение долговых обязательств происходит с премией, а некоторые долговые обязательства являются конвертируемыми (Convertible); например, они могут быть по истечении указанного срока конвертированы в обыкновенные акции, как правило, по специальному курсу. Среди преимуществ, которые получают компании от выпуска долговых обязательств, более низкий по сравнению с банковскими кредитами, процент, который им приходится платить, и, как правило, весьма отдаленный срок погашения займа. Инвесторов же они привлекают тем, что обычно они легко реализуемы на фондовой бирже и менее рискованны по сравнению с акциями (equities). 2. Документ с подписями и с печатью (deed), в котором перечисляются основные условия вышеописанного займа. 3. Форма банковского обеспечения, покрывающего корпорационный долг, в виде фиксированного или ликвидного залога; при наличии любого залога банк имеет преимущество перед другими кредиторами в случае ликвидации компании. -
