Ликвидация компании по решению суда. Петиция о ликвидации может быть направлена одновременно в суд и в зарегистрированный офис компании. Петицию имеют право подать: компания, директора, кредитор, официальный ликвидатор и Государственный секретарь по торговле и промышленности. Основаниями для ликвидации компании по решению суда являются следующие: специальная резолюция компании о ее ликвидации по решению суда; неспособность компании расплатиться с долгами; число участников компании сократилось до одного; мнение суда о том, что ликвидация компании будет для нее справедливой и отвечающей интересам всех сторон мерой. Суд может после подачи петиции о ликвидации компании назначить временного ликвидатора (provisional liquidator); он имеет также право назначить специального управляющего (special manager) для управления имуществом компании. При выпуске распоряжения о ликвидации официальный ликвидатор становится ликвидатором (liquidator) и выполняет свои обязанности до тех пор, пока кредиторы или владельцы компании не назначат вместо него другое лицо. Такое соглашение может быть предложено директорами, администратором, действующим в соответствии с распоряжением об администрировании (adinistration order), или ликвидатором (liquidator). Для наблюдения за ходом выполнения соглашения должен назначаться квалифицированный специалист по случаям неплатежеспособности. Это может быть администратор или ликвидатор, который обязан для обсуждения соглашения организовать встречу членов компании и кредиторов. Предлагаемое соглашение может быть изменено или одобрено в ходе встречи, однако, будучи однажды одобренным, оно связывает всех, кто получил уведомление о собрании. Суд имеет право выносить соответствующие распоряжения, направленные на придание соглашению юридической силы. В случае любого отклонения от соглашения само соглашение может быть опротестовано в суде. Цель добровольного соглашения состоит в том, чтобы помочь компании разрешить финансовые проблемы, не прибегая к ликвидации (см.: liquidation (ликвидация)).
