Ликвидация
Прекращение деятельности акционерной компании как юридического лица. Процесс ликвидации может быть начат по требованию кредиторов в том случае, если компания является банкротом (прину- дительная ликвидация (compulsory winding-up)) или по решению директоров и акционеров компании (добровольная ликвидация (voluntary winding-up)). Назначенное директорами или кредиторами лицо (ликвидатор (liquidator)) распродает имущество компании на наиболее выгодных условиях. Выручка от продаж идет на покрытие долгов. Если вырученных средств недостаточно для погашения задолженности перед всеми кредиторам, то в первую очередь удовлетворяются требования владельцев привилегированных акций, которые имеют предпочтительное право на выплату долга, а затем всех остальных. Если после погашения всех долгов остаются средства, то они пропорционально распределяются между акционерами. См. также Limited liability.Новый англо-русский словарь-справочник.
