Или фондовый рынок, вид инвестиционного рынка, на котором продаются и покупаются все виды фондовых инструментов (краткосрочные и долгосрочные ценные бумаги, первичные и производные). Различают организованный (фондовая биржа) и неорганизованный (внебиржевой, уличный) рынки ценных бумаг. Распространена следующая классификация фондовых рынков по характеру движения ценных бумаг: Первичный рынок (англ. primary market) — рынок, на котором происходит размещение новых ценных бумаг. Вторичный рынок (англ. secondary market) — место основной купли-продажи ранее выпущенных активов. Именно со вторичным рынком лучше всего знаком начинающий инвестор, поскольку биржи как раз относятся ко вторичному рынку. Один из главных субъектов — фондовая биржа. Третий рынок (англ. third market) охватывает торговлю зарегистрированными на бирже ценными бумагами за пределами самой биржи. Третий рынок традиционно использовался в качестве площадки для торговли, обмена крупными пакетами акций между институциональными инвесторами. С развитием интернета он стал доступен для частных инвесторов. Четвёртый рынок (англ. fourth market) — это электронные системы торговли крупными пакетами ценных бумаг напрямую между институциональными инвесторами. Самые известные системы четвёртого рынка — InstiNet, POSIT, Crossing Network. Вопреки общепринятому представлению, фондовый рынок не является главным источником денег для инвестиций. Даже в США, где он наиболее развит, подавляющее большинство инвестиций финансируется из собственных средств компаний, 20-30% — за счет заемных средств или выпуска облигаций и только менее 10% — за счет выпуска акций. (См. С.Гуриев Мифы экономики, с.121.). Это неудивительно — внешнее финансирование стоит дороже внутреннего из-за проблем асимметричной информации, поэтому компании обращаются за внешними ресурсами лишь тогда, когда не хватает собственных. Кроме того, если компания выпускает акции, а не облигации, то рынок воспринимает это как отрицательный сигнал о перспективах ее развития

Рынок, на котором акции продаются и покупаются вне пределов юрисдикции признанных фондовых бирж. Этот термин впервые появился в 1870-х гг. как название практики покупки акций у банковских стоек в США. Внебиржевые рынки ценных бумаг характеризовались более низким уровнем защиты интересов инвесторов, однако со временем деятельность их стала более упорядоченной. Крупнейшим в мире внебиржевым рынком ценных бумаг является Система автоматической котировки Национальной ассоциации биржевых дилеров (NASDAQ) в США. В Великобритании внебиржевой рынок ценных бумаг считался более чем ненадежным; он полностью перестал существовать после создания в 1987 г. Лондонской фондовой биржей третьего рынка (third market), характеризовавшегося минимальными требованиями для выхода на него. В свою очередь и этот рынок был закрыт, когда в 1990 г. были введены менее строгие требования на рынке некотируемых ценных бумаг (unlisted securities market (USM)).

Ведущий рынок торговли обыкновенными акциями (equities) на Лондонской фондовой бирже (London Stock Exchange). Условия получения биржевой котировки (listing requirements) для выхода на этот рынок являются наиболее жесткими; способность этого рынка своевременно выполнять обязательства выше, чем на рынке ценных бумаг, некотируемых на фондовой бирже (unlisted securities) и на других рынках более низкого уровня. Компания, которая хочет выйти на основной рынок, должна пройти аудиторскую проверку своих финансовых показателей по крайней мере за пять лет и должна распространить среди широкой публики не менее 25 % своих акций. В настоящее время на основном рынке проходят операции с примерно 7000 ценных бумаг.

Рынок, организованный в 1980 г. Лондонской фондовой биржей (London Stock Exchange) для торговли акциями небольших компаний, не отвечающих требованиям включения в котировочный лист главного рынка (main market) (хотя большинство компаний, торгующих своими ценными бумагами на рынке некотируемых ценных бумаг, в конечном счете намерено выйти на главный рынок). Вступление на рынок некотируемых ценных бумаг обходится дешевле, а требования, предъявляемые к компаниям и их ценным бумагам, менее строгие (см.: unlisted securities (некотируемые на основной бирже ценные бумаги)). В настоящее время на рынке некотируемых ценных бумаг обращаются акции менее 370 компаний, тогда как в котировочный лист главного рынка включено более 7000 компаний. В период между 1987 г. и 1990 г. при Лондонской фондовой бирже существовал “третий рынок” (third market) некотируемых на главном рынке ценных бумаг; в 1990 г. он слился с рынком некотируемых ценных бумаг. В декабре 1992 г. Лондонская фондовая биржа предложила упразднить рынок некотируемых ценных бумаг к концу 1995 г. и уже с июня 1993 г. не допускать на него новые компании.
