I tilfælde af en afvikling af selskabet vil en præferenceaktie typisk have krav på at blive tilgodeset, før der kan blive dividende til de almindelige aktier, ligesom en præferenceaktie i reglen har fortrinsret til et bestemt udbytte, før der kan udbetales udbytte til de almindelige aktier. Til gengæld giver en præferenceaktie ingen eller kun begrænset stemmeret.
