Финансовое учреждение, обычно торговый банк (merchant bank), которое специализируется на размещении ценных бумаг (floatation) частных компаний на фондовой бирже (stock exchange). В некоторых случаях эмиссионные дома сами целиком покупают весь выпуск (см.: underwriter (андеррайтер; поручитель; гарант)), таким образом гарантируя компанию от неопределенностей относительно сумм, которые она сможет получить в результате размещения своих бумаг. После этого он, как правило, продает акции широкой публике, обычно путем предложения новых ценных бумаг напродажу (offer for sale), представления ценных бумаг через биржу (introduction), выпуска ценных бумаг на основе торга/аукциона (issue by tender) или размещения (placing) их. В США эту функцию выполняет инвестиционный банк (investment bank).

преимущественное право покупки акций
Принцип, заложенный в законодательство о компаниях, в соответствии с которым любые новые акции, выпущенные фирмой, должны быть в первую очередь предложены уже имеющимся у нее акционерам как ее законным владельцам. Чтобы деятельность компании соответствовала этому принципу, необходимо письменно известить каждого акционера (см.: rights issue (выпуск новых акций, предлагаемых существующим акционерам)). Эта процедура является дорогостоящей и требует длительного времени. Новые методы выпуска акций, например выпуск новых акций для финансирования поглощения (vendor placing) и “купленная сделка” (bought deals), гораздо дешевле и проще для реализации, хотя они и нарушают преимущественное права покупки. В США от преимущественного права покупки сейчас практически отказались, однако в Великобритании его нарушение широко оспаривается.
