добровольная ликвидация компании ее членами
Ликвидация компании путем принятия ее членами специального решения в условиях, когда компания является платежеспособной. До принятия решения о ликвидации директора должны сделать заявление о платежеспособности (declaration of solvency). Подобное заявление, сделанное без достаточных оснований для того, чтобы считать его соответствующим действительности, рассматривается как уголовно наказуемое. После принятия решения назначается ликвидатор (liquidator). Если в ходе ликвидации компании он сочтет, что компания не сможет выплатить по своим обязательствам, созывается собрание кредиторов и ликвидация компании рассматривается как принудительная ликвидация (Compulsory liquidation) ее членами.
