Стоимость Г. определяется (при оценивании компаний) как разница между рыночной (продажной) стоимостью предприятия как целостного имущественного комплекса и его балансовой стоимостью (суммой чистых активов). Это превышение стоимости связано с возможностью получения более высокого уровня прибыли сравнению со среднерыночным уровнем эффективности инвестирования) за счет использования более эффективной системы управления, доминирующей позиции на товарном рынке, применения новых технологий и т.п.

Иными словами, «Г» представляет собою увеличение оценки бизнеса, его стоимости в той мере, в какой этому способствуют репутация, авторитет фирмы и другие подобные трудно определимые «неосязаемые факторы» Стоимость Г. определяется (при оценивании компаний) как разница между рыночной (продажной) стоимостью предприятия как целостного имущественного комплекса и его балансовой стоимостью (суммой чистых активов). Это превышение стоимости связано с возможностью получения более высокого уровня прибыли (по сравнению со среднерыночным уровнем эффективности инвестирования) за счет использования более эффективной системы управления, доминирующей позиции на товарном рынке, применения новых технологий и т.п. Важно, что природа гудвилла для финансовой отчетности отличается от природы этого понятия, используемого в юридических установлениях. «Правовой» гудвилл обычно рассматривается как вся стоимость, превышающая стоимость материальных активов. • Виды гудвила: Отрицательный гудвилл (negative goodwill) - возникает, когда совокупная стоимость идентифицируемых активов и обязательств организации превышает стоимость ее приобретения. Положительный гудвилл (positive goodwill) - возникает, когда совокупная стоимость идентифицируемых активов и обязательств приобретаемой организации оказывается меньше стоимости ее приобретения. Ср.     В российской практике применяется как термин «деловая репутация», так и «гудвилл». Гудвилл - коммерческая ценность предприятия (фирмы), его престиж, деловые связи (Постановление Госкомстата РФ от 2 апреля 1999 г. № 24 «Об утверждении единовременной формы федерального государственного статистического наблюдения за деятельностью организаций по оценке стоимости имущества»).
    Для целей бухгалтерского учета деловая репутация организации может определяться в виде разницы между покупной ценой организации (как приобретенного имущественного комплекса в целом) и стоимостью по бухгалтерскому балансу всех ее активов и обязательств (п. 27 ПБУ 14/2000). Деловая репутация может быть отрицательной, когда максимальная рыночная стоимость приобретаемых чистых активов превышает цену приобретения компании.

    EXAMPLE
    Goodwill becomes an intangible asset when a company has been acquired by another. It then appears on a balance sheet in the amount by which the price paid by the acquiring company exceeds the net tangible assets of the acquired company. In other words:
    Purchase price – net assets = goodwill
    If an airline is bought for $12 billion and its net assets are valued at $9 billion, $3 billion of the purchase would be allocated to goodwill on the balance sheet.
