интегрированная система управления
Система, объединяющая автоматизированное управление технологическими процессами (АСУТП) и автоматизированное организационное управление (АСУ). Тенденция к такому объединению наблюдается на предприятиях металлургии, химии и других отраслей, где автоматизированные системы управления технологическими процессами наиболее развиты. Интегрированная теория оценки стоимости бизнеса (Business valuation integrated theory) - теория, разработанная американским оценщиком З.К. Мерсером.[1] В ней представлена совокупность новых приемов оценки стоимости, основанных на разработанной им четырехуровневой схеме формирования стоимости бизнеса. Среди новшеств могут найти применение в оценочной практике, например, модели АСАРМ – модифицированная модель оценки капитальных активов, и QMDM – количественная модель оценки скидки за недостаточную ликвидность. Ситуация, при которой формально компания находится в собственности акционеров, однако фактическое управление ею осуществляется менеджерами компании - советом директоров, который назначается акционерами на ежегодном общем собрании для ведения дел от лица акционеров. Поскольку в среднем количество акций в руках каждого отдельного инвестора обычно невелико, и акционеры имеют весьма отдаленное отношение к принятию повседневных решений, именно совет директоров определяет основные направления деятельности компании. Признание того, что управленческие функции перешли в руки администрации, способствовало разработке новой теории фирмы, в которой общепринятая гипотеза максимизации прибыли (см.
